We will determine, in our discretion, whether there has been a breach of clauses (3) (4) and (5) through your use of our Website. When a breach of this policy has occurred, we may take such action as we deem appropriate. 
Failure to comply with clauses (3) (4) and (5)  constitutes a material breach of the terms of use upon which you are permitted to use our Website, and may result in our taking all or any of the following actions:
·         Immediate, temporary or permanent withdrawal of your right to use our Website.
·         Immediate, temporary or permanent removal of any posting or material uploaded by you to our Website.
·         Issue of a warning to you.

We give no guarantee that our Website will be available at all times. There may be times when maintenance is required or technical difficulties are experienced. Whilst we will do our best to resolve any access issues as quickly as possible, we do not accept any liability in respect of the unavailability of the Website.
Access to certain areas of our Website is restricted.  We reserve the right to restrict access to other areas of our Website, or indeed our whole Website, at our discretion.
If we provide you with a user ID and password to enable you to access restricted areas of our Website or other content or services, you must ensure that that user ID and password is kept confidential. 
We may disable your user ID and password in our sole discretion without notice or explanation.
 
(8) Share Allocations and Recommending
me2everyone PLC has an authorised share capital of £18m of which £4m is issued and fully paid up.  When you register to become a member of this Website you will be allocated a number of ordinary shares in me2everyone PLC with a par value of £0.001 each. We reserve the right to vary the number of shares awarded for becoming a member from time to time.
Ordinary shares of £0.001 par value in me2everyone PLC will also be allocated to you when you recommend this Website to your friends and they subsequently register as members. We will provide you with a link that contains your unique referral ID for this purpose. You can check who has registered on the Website using your referral ID by signing in and visiting the “Shares” page.
You agree:
(a)  Not to register yourself using different email addresses or aliases in an attempt to gain more ordinary shares;
(b)  Not to register the names of anyone younger than the age of 16;
(c)  Not to register the names of other people without their express written permission;
(d)  Not to register the names of any fictitious people, people who are dead, family pets or other animals, or inanimate objects, or impersonate any person or entity;
(e)  That if you breach any of these conditions we may cancel your allocation of shares and may take other legal remedies.
 
When me2everyone’s main Website launches we will ask you for specific additional extra personal information including your address for the purpose of registering your allocated shares with Companies House (www.companieshouse.gov.uk) as required by law by English companies. We confirm that at the time me2everyone PLC shares are legally transferred to you,  these will be fully paid up and you will not be liable for any payment for the shares. You may wish to sell some or all of your shares or purchase shares from other users. A share marketplace will be made available on the Website which will consist of an automated process to transfer the shares once agreement has been reached between a buyer and seller. We shall have no liability in the event that monies are not paid or a dispute arises between a buyer and seller.
 
(9) Limited warranties
Whilst we endeavour to ensure that the information on this Website is correct, we do not warrant its completeness or accuracy; nor do we commit to ensuring that the Website remains available or that the material on the Website is kept up-to-date.
We have no pre-screening process and nor do we approve content uploaded onto the Website by individual users. We cannot guarantee that any user is who he says he is and nor are we responsible for any content uploaded by a user or any transactions entered into between users. We have no control over how a user will collect or store personal information it may collect from other users.
To the maximum extent permitted by applicable law we exclude all representations, warranties and conditions relating to this Website and the use of this Website (including, without limitation, any warranties implied by law of satisfactory quality, fitness for purpose and/or the use of reasonable care and skill).

Subject to this, our liability to you in relation to the use of our Website or under or in connection with these terms and conditions (including that of our directors, employees, workers or agents), whether in contract, tort (including negligence) or otherwise, will be limited as follows:
(a)   to the extent that the Website and the information and services on the Website are provided free-of-charge, we will not be liable for any loss or damage of any nature;
(b)   we will not be liable for any consequential, indirect or special loss or damage;
(c)   we will not be liable for any loss of profit, income, revenue, anticipated savings, contracts, business, goodwill, reputation, data, or information;
(d)   we will not be liable for any loss or damage arising out of any event or events beyond our reasonable control.
In any respect our liability to you shall be limited to the amount paid by you in respect of the purchase of any goods or services from us or to a maximum sum of £1,000 whichever is the lower. This does not include any goods or services from other users in respect of which we shall have no liability.

You hereby indemnify us and undertake to keep us, our group companies and each of their directors, officers, agents, contractors, partners and employees indemnified against any losses, damages, costs, liabilities and expenses (including without limitation legal expenses and any amounts paid by us to a third party in settlement of a claim or dispute on the advice of our legal advisers) incurred or suffered by us arising out of or in connection with any breach by you of any provision of these terms and conditions, or arising out of any claim that you have breached any provision of these terms and conditions, or any enforcement action taken by us against you in respect of such breach.
 
(12) Breaches of these terms and conditions
Without prejudice to our other rights under these terms and conditions, if you breach these terms and conditions in any way, we may take such action as we deem appropriate to deal with the breach, including suspending your access to the Website, prohibiting you from accessing the Website, blocking computers using your IP address from accessing the Website, contacting your internet service provider to request that they block your access to the Website and/or bringing court proceedings against you.
 
(13) Transactions concluded through our Website
